Caruso enables fund managers to create data rooms that showcase open investment opportunities to potential investors, while controlling access and visibility.
Follow the steps below to set up a data room and manage investor access.
Step 1: Access the Capital Raises Content
In the navigation pane, select Capital Raises.
Choose the fund you want to work with.
Click the Content tab.
Step 2: Add Required Offer Details and Documents
To make the data room live and visible to investors, you must complete the following mandatory fields:
Subtitle
Overview (use the editing tools to format text, add hyperlinks, or bullet points)
Primary Capital Raise Document (information memorandum)
Without completing these, the data room cannot be published or accessed by investors.
You can also enrich the data room by adding:
Thumbnail Key Metrics – Up to four metrics, displayed on the offer thumbnail.
Media – Upload an offer-specific image, or use the default fund image.
Video URL – Add a link to showcase promotional or explanatory videos.
Documents – Upload additional materials for investors to review.
Additional Content Blocks:
Text blocks – Share details such as investment highlights or disclaimers.
Table blocks – Present structured data, such as key metrics or offer terms.
Step 3: Preview the Data Room
Before publishing, use Preview Data Room on the capital raise to see the content laid out as an investor would see it. The preview is read-only and clearly marked as Preview Mode, with the invest and subscribe actions disabled.
Preview works for all visibility settings, including Hidden, so you can review a data room before making it available to anyone.
Note: Use Preview Data Room rather than impersonating an investor to check your content. Impersonation reflects exactly what that investor can see, so a hidden or closed capital raise will not appear.
Step 4: Manage Data Room Access
To make the the data room visible to investors
Go to the Access tab of the capital raise.
Under Investor Access, you can copy a Shareable Link to the data room and application process.
Note: recipients must have the correct access permissions based on your visibility settings.
In the Data Room Access section, use the Visibility dropdown to customise who can view the data room via the Investor Portal. The options are listed below:
Data Room Access
Setting | Public (No Portal Access) | Investor Account (Logged In) | Admin User (Impersonating Account) |
Hidden | No access | No access | No access. Use Preview Data Room in the Admin App instead |
Visible to All Portal Users | ✔️ | ✔️ | ✔️ |
Visible to Fund Unit Holders | No access | No access, unless the account has access to an investing entity with a holding in this fund | No access, unless impersonating an account linked to an investing entity with a holding in this fund |
Visible to Selected Accounts | No access | No access, unless the account has been granted access | No access, unless impersonating an account that has been granted access |
Visible to investing entities in accepted countries | No access | No access, unless the account viewing as an investing entity is in an accepted country. | No access, unless the account viewing as an investing entity is in an accepted country. |
Note: Impersonation shows exactly what the investor being impersonated can see. A closed or archived capital raise does not appear during impersonation, in the same way it does not appear for the investor.
Restricted Accounts
Block specific accounts from accessing this capital raise. Restrictions override the visibility setting above and apply only to this raise.
Use this for short-term cool-offs after a failed Target Market Determination assessment, compliance holds, or any ad-hoc restriction. Leave the expiry blank to block an account indefinitely.
