How to manage data rooms and investor access

Caruso enables fund managers to create data rooms that showcase open investment opportunities to potential investors, while controlling access and visibility.

Follow the steps below to set up a data room and manage investor access.


Step 1: Access the Capital Raises Content

  • In the navigation pane, select Capital Raises.

  • Choose the fund you want to work with.

  • Click the Content tab.


Step 2: Add Required Offer Details and Documents

To make the data room live and visible to investors, you must complete the following mandatory fields:

  • Subtitle

  • Overview (use the editing tools to format text, add hyperlinks, or bullet points)

  • Primary Capital Raise Document (information memorandum)

Without completing these, the data room cannot be published or accessed by investors.

You can also enrich the data room by adding:

  • Thumbnail Key Metrics – Up to four metrics, displayed on the offer thumbnail.

  • Media – Upload an offer-specific image, or use the default fund image.

  • Video URL – Add a link to showcase promotional or explanatory videos.

  • Documents – Upload additional materials for investors to review.

  • Additional Content Blocks:

    • Text blocks – Share details such as investment highlights or disclaimers.

    • Table blocks – Present structured data, such as key metrics or offer terms.


Step 3: Manage Data Room Access

To make the the data room visible to investors

  • Go to the Access tab of the capital raise.

  • Under Investor Access, you can copy a Shareable Link to the data room and application process.

    • Note: recipients must have the correct access permissions based on your visibility settings.

  • In the Data Room Access section, use the Visibility dropdown to customise who can view the data room via the Investor Portal. The options are listed below:
